Up to $175m capital raising, including a $150m placement and up to $25m share purchase plan, to fund the MARSS acquisition and accelerate growth opportunities.
Proceeds will fund the upfront consideration for MARSS, increase balance sheet flexibility, and support strategic initiatives in counter-drone and space control sectors.
Post-transaction, pro-forma net cash is expected to be approximately $195m.
The placement is fully underwritten, with new shares issued at $8.00 each, a 9.3% discount to the last closing price.
The share purchase plan allows eligible shareholders to apply for up to $30,000 of new shares at the placement price.
MARSS acquisition and integration
Acquisition of MARSS transforms the company into a fully integrated global counter-drone systems provider.
MARSS brings proprietary NiDAR C2 technology, AI-enabled decision-making, and a significant order book (~A$217m).
The acquisition expands geographic reach and customer relationships, enabling competition for larger, higher-value programs.
Earnout structure revised: maximum contingent consideration increased to €140m for €700m in orders, payable in shares and cash.
Integration of MARSS technology into existing product lines enhances hemispherical drone defense capabilities.
Order book and contract wins
Illustrative total order book stands at $726m, with 60-80% expected to convert to revenue in 2026 and 2027.
Recent contract wins include a €71.4m high-energy laser weapon export to the Netherlands and a US$42m Slinger order from a Middle East customer.
MARSS secured new orders totaling €102m (~A$165m) from an existing Middle East customer, expanding its order book.
The order pipeline is dynamic, with further growth opportunities anticipated due to ongoing geopolitical tensions.
